1. Agreement
This End User License Agreement (“Agreement”) is a legal agreement between you (“you” or “Licensee”) and AI Solution Technologies Pty Ltd (“AI Solution Technologies”, “we”, “us” or “our”) governing your use of the software applications, tools, platforms, components and related documentation that we make available to you (the “Software”). By installing, accessing or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install, access or use the Software.
Where the Software is provided under a separate Services Agreement or order, that agreement’s terms apply in addition to this Agreement and prevail to the extent of any inconsistency.
2. Licence grant
Subject to your compliance with this Agreement and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to install and use the Software solely for your internal business purposes, in the quantity and for the term specified in your order or Services Agreement.
3. Licence restrictions
You must not, and must not permit any third party to:
- copy, modify, adapt, translate or create derivative works of the Software, except as expressly permitted;
- reverse engineer, decompile or disassemble the Software, or attempt to derive its source code, except to the extent this restriction is prohibited by law;
- rent, lease, lend, sell, sublicense, distribute or otherwise make the Software available to third parties;
- remove, alter or obscure any proprietary notices on the Software;
- use the Software to build a competing product or service;
- circumvent or disable any security or licence-control features; or
- use the Software in breach of any applicable law or beyond the scope of the licence granted.
4. Ownership
The Software is licensed, not sold. We and our licensors retain all right, title and interest in and to the Software and all Intellectual Property Rights in it. No rights are granted other than as expressly set out in this Agreement.
5. Third-party and open-source components
The Software may include third-party or open-source components that are licensed under their own terms. Those terms govern your use of the relevant components and, in the event of a conflict, prevail over this Agreement with respect to those components. We make no warranty in respect of third-party or open-source components except as required by law.
6. Updates and support
We may, but are not obliged to, provide updates, upgrades, patches or support for the Software. Where provided, such updates form part of the Software and are subject to this Agreement, unless accompanied by separate terms. Support services (if any) are provided in accordance with your Services Agreement.
7. Data and privacy
Where the Software processes personal information, such processing is subject to our Privacy Policy and, where applicable, our Data Processing Agreement. You are responsible for ensuring you have all necessary rights and consents in respect of data you input into or process using the Software.
8. Confidentiality
The Software, its structure, organisation and underlying logic, and any related non-public information, are our confidential information. You must keep them confidential and use them only as permitted by this Agreement.
9. Warranty and disclaimer
To the maximum extent permitted by law, and except for any guarantees, rights or remedies that cannot be excluded under the Australian Consumer Law or other applicable law (“Non-Excludable Rights”), the Software is provided “as is” and “as available”, and we disclaim all other warranties, express or implied, including as to merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Software will be uninterrupted or error-free. Where our liability cannot be excluded but can be limited, our liability is limited, at our option, to the re-supply of the Software or the cost of re-supply.
10. Limitation of liability
To the maximum extent permitted by law and subject to the Non-Excludable Rights, we are not liable for any indirect, incidental, special or consequential loss, or loss of profit, revenue, data or goodwill, arising out of or in connection with the Software. Our total aggregate liability under this Agreement is limited to the fees paid by you for the Software in the twelve (12) months preceding the event giving rise to the liability, or, where no fees were paid, AUD $100.
11. Term and termination
This Agreement applies from the date you first install, access or use the Software and continues for the licence term. We may terminate this Agreement immediately if you breach it. On termination, the licence ends and you must cease using the Software and destroy all copies in your possession or control. Clauses that by their nature should survive termination will survive.
12. Export and compliance
You must comply with all applicable export control, sanctions and trade laws in relation to your use of the Software, and must not use or export the Software in violation of such laws.
13. Governing law
This Agreement is governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of that State.
14. Changes to this Agreement
We may update this Agreement from time to time. Where required, we will notify you of material changes. Continued use of the Software after changes take effect constitutes acceptance. This Agreement is effective from 1 January 2026.
